TERMS OF SERVICE

1. Acceptance and scope

These Terms of Service ("Terms") are between you and New Era Systems, LLC ("New Era Systems," "we," "us," or "our"). They govern your use of our company website at newerasystemsllc.com and of Ordo, a product owned and operated by New Era Systems, LLC, including the ordo.chat website, the Ordo platform (the "Service"), and the Ordo human handoff SMS alert program described in section 9. Services we provide under a separate written agreement are governed by that agreement.

By accessing or using our website or the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use them.

2. Company website

Content on newerasystemsllc.com is provided for general information about New Era Systems, LLC and its products and services. Submitting the contact form or booking a session does not enroll you in text messages. Sections 6 and 7 apply to the website as well as the Service.

3. Description of the Service

Ordo provides a platform for creating, managing, and deploying AI agents. The Service allows you to:

  • Configure AI agents with custom prompts and personalities.
  • Upload documents for Retrieval-Augmented Generation (RAG).
  • Connect agents to third-party tools and APIs.
  • Deploy agents to chat interfaces (Slack, Web, Microsoft Teams).

4. User responsibilities

You are responsible for your use of the Service and for any content you provide, including compliance with applicable laws. You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must obtain the rights and consents needed to submit data to the Service.

Prohibited uses

You may not use the Service to:

  • Generate or disseminate content that is illegal, harmful, threatening, or sexually explicit.
  • Upload malware, viruses, or malicious code.
  • Attempt to reverse engineer the Service or access it via unauthorized means.
  • Violate the usage policies of underlying model providers (e.g., OpenAI, Anthropic).

5. Intellectual property

Your Content: You retain ownership of any intellectual property rights that you hold in the content you submit, including agent configurations and knowledge base documents. You grant us a limited license to process your content only to operate and improve the Service.

Our IP: The Service, including its "Ordo" name, logo, and underlying technology, is the property of New Era Systems, LLC or its licensors and is protected by copyright and trademark laws. We grant you a limited, non-exclusive license to use the Service subject to these Terms.

AI Output: Subject to your compliance with these Terms, Ordo assigns to you all its right, title, and interest in and to the output generated by the Service in response to your inputs.

6. Disclaimer of warranties

Our website and the Service are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or securely generated. Due to the probabilistic nature of Artificial Intelligence, output may be inaccurate or misleading. You are responsible for evaluating the accuracy of any output.

7. Limitation of liability

To the maximum extent permitted by law, New Era Systems, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our aggregate liability will not exceed the amounts you paid us in the 12 months preceding the claim.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service ends. Provisions intended to survive termination, including intellectual property, disclaimers, and limitations of liability, remain in effect.

9. SMS terms: Ordo human handoff alerts

New Era Systems, LLC sends optional Ordo operational alerts, under the Ordo name, to registered Ordo users who opt in through their authenticated Ordo account settings. Messages cover human handoff requests, completion and timeout updates, and requested test messages. This program does not send marketing messages to chat visitors.

Messages for this program are sent from +1 (380) 246-4080. Replying STOP ends alerts. Replying START afterwards allows texts from that number again but does not turn alerts back on; opt in again in Ordo Settings.

To opt in, sign in to Ordo and open Settings → Security → Human handoff SMS alerts. Enter your mobile number, review the disclosure, check the optional consent box, and select Save SMS preferences. The checkbox is unchecked by default. Entering a number or being selected by an administrator does not grant consent. Changing your mobile number requires new consent. See the opt-in instructions and screenshots.

New opt-ins trigger an enrollment confirmation message with the program name, frequency, rates, help, and opt-out instructions. If the confirmation cannot be sent, enrollment is not saved and you may retry.

Message frequency varies with handoff activity. Message and data rates may apply. Consent is not a condition of purchase, account creation, or use of Ordo. Reply STOP to opt out of Ordo SMS alerts. Reply HELP for help. You may also uncheck SMS consent and save in Ordo account settings. If you previously replied STOP, replying START, UNSTOP, or YES to the sending number only re-enables delivery; alerts resume only after you enable SMS consent again in Ordo account settings.

10. Subscriptions and billing

Paid Ordo plans are billed through Stripe. By initiating a subscription, you authorize recurring charges until cancellation. Prices and features are listed in the app and may change prospectively upon notice. Taxes may apply based on your location.

You may cancel at any time in the billing portal. Cancellations take effect at the end of the current billing period; we generally do not offer prorated refunds.

11. Third-party services

The Service may integrate with third-party services, including Stripe for payments. Your use of those services is subject to their terms and policies. Our use of personal data is described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms. We will notify Ordo users of material changes in the app or by email. Continued use after changes means you accept the updated Terms.
